Corporate C-suite: Your M&A data room pains

Ulrik Nohr Ulrik Nohr
Let me share a public secret: building data rooms is boring. It is time-consuming, troublesome and just plain boring. But that doesn’t mean we can’t make it less time-consuming, less troublesome and less boring. You could also easily ask: so why are you specializing within the field? Well, let’s just say that we saw some room for improvement... So here is the deal: when planning to build a(virtual) data room (a VDR) in a larger organization, time and quality are two key factors. They will significantly impact the outcome and perception of the due diligence investigation. In this respect, I have highlighted the key pains that we have identified through extensive knowledge as M&A lawyers and data room consultants. Which also resulted in us building software and having a team of data scientists and developers to remedy these pains.   In short, these pains cover: Time will be wasted You don’t know what to collect A VDR structure is logical for M&A professionals – often not for others Incomplete VDRs are the rule rather than the exception Show or tell, please   1. Key employees’ time will be wasted Most - if not every - M&A process in large… Read More

What is GDPR? Here’s what you need to know to get started.

Ulrik Nohr Ulrik Nohr
What is GDPR? The General Data Protection Regulation 2016/679 (GDPR)  is the EU regulation concerning data protection and privacy for all individuals within the EU. It applies to companies handling data from EU citizens located inside and outside of the EU. It doesn’t matter where the companies are physically located: If you as a company are handling data from EU citizens, your company must comply with the GDPR. The regulation enters into force on May 25, 2018.   The aim of the GDPR is to give back EU citizens control over their personal data. People must (and should) have the right to know what information companies have on them. From a societal point of view, GDPR gives people the rights to claim insight into an until now unchartered territory. And this is a good thing. That being said, it can be a b**** for companies as GDPR compliance is more than a mouthful.   How does GDPR affect my business? The new GDPR regulation is a modification of the preceding directive but with some important changes that impact your business in a significant way. Below you can find new and modified concepts that are important to be aware of. The list below should not… Read More

Document Management: 5 facts you need to know

Ulrik Nohr Ulrik Nohr
Think of how knowledge is distributed in your organization. You most likely have some of it materialized in some form of document somewhere. Do your colleagues know where it is? Unfortunately, it is often the case that they do not. And before mind-reading really becomes a thing, this is a real issue. Having a clear overview and easy access to documents is crucial to any business as it is a source of knowledge. But. If you do not name, file and organize your documents properly, chances are that your knowledge is lost. Or you end up annoying your colleagues by asking or being asked about yours and their documents. Below, we have listed some facts about the challenges of manually handling your documents. The challenge becomes even bigger when handling documents containing personal data. Read More

Superwoman in a Danish tech start-up? Let’s shed some light

Ulrik Nohr Ulrik Nohr
An interview with three superwomen of Archii This is not an article about how we want flowers and cake on the International Women’s Day.  Even though we wouldn’t say no to cake and flowers (who would?!). Today, we want to attract attention to how this day’s purpose is to make a positive difference for women! We are 3 international powerful women who want to make a positive statement. Women who want to encourage more women to jump into the tech industry. This is a nice reminder that we have the strength and will to succeed - we just need to put ourselves out there. The tech industry has a gender gap - and it’s not a small one. Just 28 percent of IT workers in Denmark are women. The point of this article, besides showing the strong women workforce at Archii, is to emphasize that we think there is a need for more women in tech, in positions such as Software Engineer and Data Analysts - just to name a few. My name is Maria Chirac (the one in the middle) and I am doing Marketing and PR. I wanted to give you, women (and the guys as well), a “behind… Read More

Realistic document management: 5 things you need to realize

Ulrik Nohr Ulrik Nohr
Let’s just get it out there: handling documents is boring! It might be fun creating a new presentation, a cool campaign overview or negotiating an important contract. But the archiving and subsequent handling of it is a boring and tedious task. But it is necessary! Why? Because proper archiving and handling enables your colleagues and successors to find what you have been doing. For the last 10 years or so, I have been handling documents as a profession. First in a large corporate, then as a lawyer and lastly as a consultant handling companies’ most important documents in M&A (mergers and acquisitions) transactions. And even though companies are different, some lessons are universal - just as the fact that everybody secretly loves to sing along when “Like a Prayer” is on the stereo… It can be narrowed down to the following: Human anatomy: we do things differently and have a hard time following. Over-ambitiousness: we strive for 100 % - which is rarely possible and results in a lack of motivation in the long run. Resources: there are no more archivists or secretaries hired to handle documents. Over-fitting of software packages: remember the last time you got lost in SAP? Centralized project- or procurement… Read More

What we learnt from raising our first round of funding

Ulrik Nohr Ulrik Nohr
Our friends at CPHFTW  asked us to write a blog post about Archii's funding round back in summer 2017. Søren, one of our founders, wrote about our initial funding strategy and how our plan did not go quite as planned. Eventhough this was the case it still provided us with a sense of direction and the initial planning made us be more aware of what we wanted from the investors and what we needed. Archii in the news

Ulrik Nohr Ulrik Nohr
The Danish media Berlingske Business wrote an article on how we have disrupted the legal industry which we think is pretty awesome. The article is unfortunately only in Danish, so if you’re not part of the 0.08 percent of the world population speaking Danish, you can read our summary below. Essentially the digital transformation has made our lives easier – to some extent. For instance, can you remember when businesses had archivists employed on staff? They were an important organ because they kept track of the business’ important documentation. But just like the appendix, archivists have become a redundant organ as a victim to business evolution. That’s not necessarily a good thing. The function of keeping track of documents has vanished. And with the digital transformation, documents are scattered across mailboxes, servers, local drives, cloud storages, and USBs. Handling documents has become easier, but at the same time, it is a more complex task to do perfectly. Employees have a great number of programs for creating documents, and they have a great number of places to save these documents. But there is a link missing in connecting all these programs. You are the sole connector. You are responsible for creating the right type of… Read More
